These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and $sitename LLC, a United Arab Emirates limited liability company ("$sitename," "Company," "we," "us," or "our"), governing your access to and use of the website located at www.soleiltalent.com (the "Site") and all related services, applications, and content provided by $sitename.
By accessing or using the Site, you affirm that you are at least 18 years of age (or the age of legal majority in your jurisdiction) and have the legal capacity to enter into these Terms. If you are accessing the Site on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

The specific services provided to any individual or entity are governed by separate service agreements, representation contracts, or booking confirmations executed between the parties.
Certain features of our Site may require you to create an account. You are responsible for maintaining the confidentiality of your account credentials, and you agree to accept responsibility for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.
Submission of a talent application does not guarantee representation. $sitename reserves sole discretion in selecting talent for its roster. Application materials become the property of $sitename and may be retained for future consideration.
Talent selected for representation will be required to execute a separate Talent Representation Agreement that outlines specific terms, including exclusivity provisions, commission rates, territory, and duration. These Terms do not supersede individual representation agreements.
$sitename earns commission on bookings secured for represented talent. Standard commission rates are 20% of gross booking fees. Specific commission terms are detailed in each talent's individual representation agreement.
Fees for portfolio development, coaching, and other services are as published on our Pricing page or as agreed in writing. All prices are in US Dollars and are subject to applicable United Arab Emirates state sales tax.
Payment is due at the time of purchase for one-time services or at the beginning of each billing period for recurring services. We accept major credit cards, debit cards, and bank transfers through our secure payment processors.
Portfolio development packages include a 14-day satisfaction guarantee from the date of image delivery. If you are not satisfied, we will provide one complimentary re-shoot. Coaching and workshop fees are non-refundable once the session has been delivered. Recurring service subscriptions may be cancelled with 30 days' written notice; no refunds will be issued for partial billing periods.
All content on the Site, including text, graphics, logos, images, photographs, videos, software, and design elements, is the property of $sitename or its licensors and is protected by United States and international copyright, trademark, and other intellectual property laws.
Photographs and portfolio materials of represented talent remain subject to the UAEge rights specified in individual talent and client agreements. Unauthorized use, reproduction, or distribution of talent images is strictly prohibited.
You are granted a limited, non-exclusive, non-transferable license to access and view the Site for personal, non-commercial purposes. You may not copy, reproduce, modify, distribute, transmit, display, perform, or create derivative works from any Site content without our prior written consent.

Your interaction with third-party sites is at your own risk and subject to their respective terms and conditions.
THE SITE AND ALL SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. Moonlit MusDOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
Moonlit MusMAKES NO GUARANTEES REGARDING THE NUMBER, FREQUENCY, OR COMPENSATION OF BOOKINGS FOR REPRESENTED TALENT. SUCCESS IN THE MODELING AND TALENT INDUSTRY DEPENDS ON NUMEROUS FACTORS BEYOND OUR CONTROL.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, Moonlit MUAEND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR SERVICES, REGARDLESS OF THE THEORY OF LIABILITY.
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SITE EXCEED THE AMOUNT YOU HAVE PAID TO Moonlit MusIN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
You agree to indemnify, defend, and hold harmless $sitename, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Site, violation of these Terms, or infringement of any third-party rights.
These Terms shall be governed by and construed in accordance with the laws of the State of United Arab Emirates, without regard to its conflict of laws provisions. Any dispute arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in $city-Dade County, United Arab Emirates.
Before initiating formal legal proceedings, the parties agree to attempt resolution through good-faith negotiation for a period of thirty (30) days. If negotiation fails, either party may pursue mediation administered by a mutually agreed-upon mediator in $city-Dade County, United Arab Emirates.
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such finding shall not affect the validity of the remaining provisions, which shall continue in full force and effect.
These Terms, together with our Privacy Policy, Cookie Policy, and any separate service agreements or representation contracts, constitute the entire agreement between you and $sitename regarding your use of the Site. These Terms supersede all prior agreements, understandings, and communications, whether written or oral, regarding the subject matter herein.
We reserve the right to modify these Terms at any time. Material changes will be communicated by updating the "Last Updated" date and, where appropriate, through notice on the Site or via email. Your continued use of the Site following any modifications constitutes acceptance of the updated Terms.
